Investment agreement. Sham transaction or market model?

An investor risks to lose his investments if the contract with the owner of state or municipal property contains elements of concession, PPP or state contract under 44-FZ in Russia. The court may requalify such an agreement and recognize it as a sham transaction as a result of a suit of the Federal antimonopoly service of the Russian Federation, the prosecutor's office or other persons.
