The partner of You & Partners, Yevgenia Zusman, became a lecturer within the advanced training program "Management of Investment Projects in the Form of PPP" organized by the Moscow City Government University of Management Moscow.
Yevgenia delivered a lecture on the topic “Conclusion of a Concession Agreement and an Agreement on PPP/MPP as a Private Initiative. Bidding Procedures".
In her speech, Yevgenia spoke about various procedures for concluding agreements (bidding procedures, the conclusion of agreements without tenders), comparing the provisions of 115-FZ "On Concession Agreements" and 224-FZ"On Public-Private Partnership...". The main stages and the procedure for conducting competitive procedures for the conclusion of such agreements were analyzed in detail during the lecture, as well as the main requirements for the participants in the competition were noted and judicial practice on these issues was analyzed. Yevgenia paid special attention to the private initiative procedures, according to which a private investor can independently initiate the conclusion of a concession agreement and an agreement on PPP/MPP.

Infrastructure Market Leaders Summit (Infrasummit)

The partner of You & Partners, Yevgenia Zusman, moderated the PPP section in IT at the First Infrastructure Market Leaders Summit (Infrasummit).
In her introductory remarks, Yevgenia noted that currently 22 IT projects are being implemented in Russia with a total investment of about 39 billion rubles. Most of the projects are in the investment and operational stages. The largest number of such projects is being implemented in the Nizhny Novgorod, Moscow, and Ryazan regions. The investor participating in the largest number of projects is Rostelecom PJSC - 13 projects. The main sector of the economy in which IT projects are implemented is the transport sector.
Representatives of financing organizations and development institutions (VEB, EDB), IIDF, Rostelecom PJSC, as well as invited experts, made their presentations during the round table.
The most pressing issue was the adaptation of traditional financing instruments to the needs of “non-megaprojects”.

Partner of You & Partners, Yevgenia Zusman and lawyer Alexander Lykov took part in the PPP Day in Nizhny Novgorod, held by the Nizhny Novgorod branch of the Higher School of Economics.
You & Partners co-organized the PPP Day by developing a business program and organizing speakers' presentations.
Yevgenia Zusman moderated the stress test of PPP projects in the Nizhny Novgorod Region, and also held a master class on the topic "Legal and Organizational Aspects of Preparation and Implementation of PPP Projects at the Stage of Structuring, Financial and Commercial Closure."
During her master class, Yevgenia drew attention to the practical aspects of preparing a PPP project at all stages, conducted a brief analysis of the emerging judicial practice and the main grounds for appealing concession tenders.
Yevgenia paid special attention to structuring projects taking into account the requirements of funding organizations, noting that the earlier the potential financing organization is meaningfully included in the project structuring, the more smoothly the commercial and financial closing stages will be implemented.

At the invitation of the Institute of Transport Economics and Transport Policy Studies of the Higher School of Economics, the company's partner, Yevgenia Zusman, delivered a lecture on the topic "Legal Foundations of PPP in Russia" for undergraduates.
The main stages of the formation and development of public-private partnership in Russia, the existing forms of public-private partnership, the private concession initiative, and the initiative on PPP (MPP) agreements were highlighted during the presentation.
Yevgenia noted the following trends in the field of PPP as the main ones:
The emergence of new PPP facilities (IT facilities)
Further improvement of laws (cultural objects, financial support for housing and communal services, etc.)

Controversial law enforcement practice ("Bashkir Case")
Surge of projects in the medical sector

Due to the interest shown by the students, it was decided to develop a program of additional lectures on law enforcement practice in the field of PPP.

The partner of You & Partners, Yevgenia Zusman, made a presentation on "Prospects for the Use of PPP in the Sector of Information Technology" as part of the advanced training program "Management of Public-Private Partnership Projects in the Regions of the Russian Federation", held by the PPP Department of the Financial University under the Government of the Russian Federation.
The listeners of this program were representatives of federal government bodies (Ministry of Natural Resources and Environment of the Russian Federation, Ministry of Defense of the Russian Federation), executive bodies of the constituent entities of the Russian Federation (Ministry of Finance and Tax Policy of the Novosibirsk Region, Department of Finance of the Yamalo-Nenets Autonomous Okrug, Department of Property and Land Relations of the Lipetsk Region), as well as representatives of the Avtodor State Corporation, MOSTOTREST PJSC, the Fund for Infrastructure and Educational Programs, and other organizations.
During her speech, Yevgenia drew attention to the current situation in the implementation of PPP projects in the IT sector, spoke about the problems in concluding such agreements, gave examples of specific PPP projects in the IT sector, and also analyzed judicial practice and foreign experience in this area.

Experts of You & Partners, Yevgenia Zusman and Victoria Fedina, held a webinar for participants of the incubator for launching social enterprises, organized by Impact HUB Moscow. The topic of the web seminar was a comparison of the organizational and legal forms of legal entities for social entrepreneurship in the Russian Federation, as well as the features of taxation and accounting of such persons.
During the webinar, specialists of You & Partners talked about the difference in the legal regulation of commercial and non-commercial organizations, the advantages and disadvantages of each legal corporate form, the procedure and features of attracting public and private funding for the implementation of social projects. The speakers paid special attention to such legal corporate forms as a limited liability company and an autonomous non-profit organization, as the most appropriate legal corporate forms for promoting socially-oriented projects.

Yevgenia Zusman moderated a master class on PPP in the IT sector within the VI All-Russian Forum "Looking Into the Digital Future". 
The master class consisted of a lecture module and an interactive part. The speakers were practicing experts in the field of structuring and implementing PPP projects, including representatives of Rostelecom PJSC, the Internet Initiatives Development Fund, Sberbank PJSC, the Association of Energy Service Companies - RAESKO, PricewaterhouseCoopers Consulting LLC, and others...
A business game during which the groups were structuring a PPP project in the IT sector, and also passed an interactive test on new legislation, was held as part of the event. As a result of the master class, participants were awarded certificates from the Higher School of Economics.
The partner of You & Partners, Yevgenia Zusman, moderated the master class and made an introductory report on the PPP market and investment projects in the IT sector.

On November 6, 2018, at the M-Logos Law Institute, Yevgenia Zusman, the partner of You & Partners, delivered two lectures on private initiative and on competitive procedures for concluding agreements under the Law on Concession Agreements and the Law on PPP.
Yevgenia highly appreciated the preparedness of participants and noted that they actively asked questions, demonstrating motivation and interest in the topic, as well as practical experience in structuring PPP and concession projects.
"It is the most interesting thing - to have a discussion with colleagues on an equal footing," said Yevgenia.
The most dynamic element of the training was a business game, during which the participants were offered a description of a private concession initiative. The group was divided into 2 teams (concessor and concessionaire) and prepared positions for negotiating on the most pressing issues usually discussed by the parties during negotiations on a private initiative.

Yevgenia Zusman spoke at the Interdepartmental Conference "Financing the Healthcare System" ("Finzdrav 2018")

On December 18, 2018, the partner of You & Partners, Yevgenia Zusman, gave a master class on the topic “Experience in Implementing PPP Projects and Concession Projects in the Field of Medicine. Problems and Directions of Changes in PPP and Concession Laws" within the breakout session No. 4 of the Interdepartmental Conference "Financing of the Healthcare System"("Finzdrav 2018").
In her presentation, Yevgenia spoke about the current status of laws and practices in relation to public-private partnerships and concession agreements in the healthcare sector. Yevgenia noted that healthcare is a leader in the implementation of projects in the form of a concession in the social sphere, and the mechanism of a private concession initiative – PCI – is also popular in this area. In addition, the healthcare sector is one of the few areas of the economy in which not only concession agreements are implemented, but also PPP/MPP agreements under 224-FZ.
Yevgenia separately drew the attention of participants to an important amendment adopted in 2018 in relation to health facilities – Federal State-Funded Budgetary Public Health Facilities (FGBUZ) were given the opportunity to participate on the side of the public partner in relation to health facilities.
At the end of her speech, Yevgenia also mentioned the risks arising from the implementation of concession agreements and PPP/MPP agreements, such as the complexity of concluding agreements, the subject of which is the reconstruction of separate premises (not the entire property) or the absence of an investment component in the tariffs of compulsory health insurance.

During the master class, representatives of federal and regional departments discussed the implementation of the national project "Digital Economy of the Russian Federation", including the issues of attracting extra-budgetary funding using PPP tools.
The partner of You & Partners, Yevgenia Zusman, moderated the master class "Investments and PPP in IT", and also made a presentation on the topic "Typical Issues in Structuring PPP Projects in the IT Sector". Based on her experience in supporting PPP projects, Yevgenia provided recommendations on structuring concession agreements or PPP agreements, spoke about the key issues of the participants in the PPP project negotiations, and possible negotiating positions of the parties. Yevgenia drew attention to the fact that during any negotiations, there are flexible negotiating positions and those positions on which each of the participants will insist harshly. The key issues for all categories of participants in the negotiations are guarantees of the fulfillment of the obligations of the parties, legal purity and stability of the transaction, payback and return on investment of the concessionaire/private partner, availability of budget co-financing.

The advanced training program "PPP in the Context of the Digital Economy" was designed to comprehensively explain to the participants the specifics of the preparation and implementation of concession and PPP projects in the sectors of information technology and telecommunications. The program also included a practical unit on structuring PPP projects in IT (working in groups with curators, project review).
The partner of You & Partners, Yevgenia Zusman, delivered a lecture on the role and place of PPP in the development of the digital economy.
In this lecture, Yevgenia Zusman assessed the PPP market in IT, provided information on the most popular mechanisms for the implementation of investment projects in this sector taking into account the existing market practice.
